What is a Letter of Intent?

Letters of Intent are used to express interest for one party to enter into a business relationship with another. The letter will outline the basic terms and conditions of the deal and serve as the basic initial agreement before more detailed and formal contracts are drawn up.

We’ve summarized a few key points about letters of intent:

The primary purpose of your letter of intent is to communicate your intention to engage in a business relationship with another party. It can help kick-start discussions, and facilitate negotiations.

Generally, any letter of intent is considered non-binding which means it is not a legally enforceable contract, it is simply a way for you to set expectations between yourself and the other business and lay the groundwork for negotiations to take place.

You won’t have to make your letters of intent as detailed as a formal contract, which means you just need to include key terms and conditions of the proposed relationship including details like important dates, responsibilities of each party, and specific conditions.

A confidentiality clause should be included to ensure that both parties agree to keep all information exchanged during the negotiation process confidential, this can help protect your sensitive business information.

Including a provision for an exclusive negotiation period means that both parties agree to not enter into discussions with any other party including collaborators or potential partners.

Letters of intent can include a process for due diligence which allows both parties to investigate each other’s legal, operational, and financial aspects before entering into a legal agreement.

Concluding the letter usually consists of the next steps in the process which can be moving into a more formal agreement and entering into legally binding contracts.

Although letters of intent are not legally binding documents, both parties should still exercise care when preparing and signing these documents to ensure that all terms and conditions are clearly outlined.

When you first start working with letters of intent it can be daunting to make sure you include all the important details and tailor it to your specific use case. That’s why we recommend using a letter of intent template or even downloading a sample letter of intent for your specific situation.

Letter of Intent Example Checklist: Format of Letter of Intent

You can implement letters of intent in a variety of ways, no matter the purpose of your letter there are always a few standard items you should include. We’ve written up a short checklist of items you should include in each of your letters. Not sure how to implement them in a real-life scenario? Keep reading to see some use-case examples of letters of intent.

Introduction / Purpose of The Letter

It’s best to start your letter clearly stating the purpose whether it be for a business opportunity or expressing interest in an opportunity. It allows the reader to gain a clear understanding of what the letter is about before you start getting into the finer details.

Brief Overview of the Agreement

This will typically include key details about the contract between the two parties. It provides a general outline of what both parties can expect from the agreement.

Details of the Agreement

The specific details of your agreement will depend on the type of agreement you are entering into. Some commonly included details are parties involved in the agreement, definitions of key terms, purpose of the agreement, terms and conditions, payment terms, duration and termination clauses, non-disclosure agreements, dispute resolution, and stipulations around intellectual property.

Summary of Main Points

Provide a summary of the main points of your agreement, this should include important details so if a party only reads this section they will still understand the agreement and the vital terms.

Signatures of Both Parties

Any formal letter of intent does require signatures from both parties, this indicates mutual interest, consent, and acceptance of the listed terms.
